Terms of Service

1. Acceptance of Terms

By accessing or using the Alabama Technology USA, LLC website located at alabama-tech.com (the “Site”) or any of our corporate consulting and development services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you must not access or use the Site or Services.

These Terms constitute a legally binding agreement between you and Alabama Technology USA, LLC. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Alabama Technology USA, LLC (“Alabama Tech,” “we,” “us,” or “our”) is a technology consulting and software development firm headquartered in California. Through this Site, we provide information about our company, our capabilities, and our service offerings, which include IT strategy and consulting, custom software development, cloud infrastructure and DevOps, quality assurance and testing, cybersecurity and compliance advisory, and ongoing maintenance and support.

Specific project deliverables, timelines, milestones, pricing, and payment schedules for any client engagement are governed by a separately executed statement of work (“SOW”), master services agreement (“MSA”), or other written contract. In the event of a conflict between these Terms and a signed client agreement, the signed client agreement will control with respect to the services covered by that agreement.

3. Separate Product Terms

Alabama Tech develops and publishes software products, including Pulse Browser, which is available at pulsebrowser.com. Pulse Browser and any other Alabama Tech products that maintain their own websites are governed by their own, separate terms of service and privacy policies posted on those respective sites. These Terms do not apply to your use of Pulse Browser or any other Alabama Tech product that has its own published terms. Please refer to the applicable product website for those terms.

4. Eligibility

You represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and that you have the legal capacity and authority to enter into these Terms. If you are accessing the Site or Services on behalf of a business entity, you additionally represent that you are authorized to accept these Terms on behalf of that entity.

5. Acceptable Use

You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • use the Site or Services for any purpose that is unlawful or prohibited by these Terms;
  • attempt to gain unauthorized access to any portion of the Site, its servers, or any systems or networks connected to the Site;
  • interfere with or disrupt the integrity, security, or performance of the Site or Services;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software available through the Site, except to the extent expressly permitted by applicable law;
  • use the Site to transmit any viruses, worms, malware, phishing content, or other harmful or disruptive material;
  • scrape, crawl, or use automated means to extract content from the Site without our prior written consent;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity.

6. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, software, page layout, and the underlying code — is the property of Alabama Tech or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. The Alabama Tech name, logo, and all related product and service names, design marks, and slogans are trademarks of Alabama Technology USA, LLC. You may not use these marks without our prior written permission.

Nothing in these Terms grants you any right, title, or interest in the Site or its content beyond the limited right to use the Site in accordance with these Terms. Ownership of work product delivered under a client engagement is governed solely by the applicable signed client agreement.

7. Fees & Payment

Fees, billing cadence, invoicing procedures, and payment terms for our consulting and development services are set out in the applicable SOW, MSA, order form, or subscription agreement between Alabama Tech and the client. Unless otherwise stated in a signed agreement, invoices are due within thirty (30) days of the invoice date. Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.

8. Confidentiality

Each party acknowledges that, in connection with these Terms or any related engagement, it may receive information that is confidential or proprietary to the other party (“Confidential Information”). Each party agrees to hold the other party’s Confidential Information in strict confidence, to use it only for the purposes of performing obligations under these Terms or a related agreement, and to not disclose it to any third party without prior written consent, except as required by law. This obligation survives the termination of these Terms.

9. Warranties & Disclaimers

The Site and the information presented on it are provided on an “as is” and “as available” basis. Except as expressly set forth in a separately executed written agreement, Alabama Tech makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Alabama Tech does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Any consulting, development, or other professional services provided under a signed client agreement may be subject to the specific warranty terms set forth in that agreement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Alabama Tech or its officers, directors, employees, agents, or contractors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your access to or use of the Site or Services, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether Alabama Tech has been advised of the possibility of such damages.

To the extent permitted by law, Alabama Tech’s total aggregate liability arising out of or relating to these Terms or your use of the Site will not exceed the greater of (a) the total amounts you have paid to Alabama Tech in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Alabama Tech and its officers, directors, employees, agents, and contractors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your access to or use of the Site or Services, (b) your breach of these Terms, or (c) your violation of any applicable law or the rights of any third party.

12. Termination

We may suspend or terminate your access to the Site or Services, in whole or in part, at any time and for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Site ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Intellectual Property, Confidentiality, Warranties & Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

13. Third-Party Links

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Alabama Tech. We are not responsible for the content, privacy practices, or availability of any third-party sites. Inclusion of any link does not imply endorsement by Alabama Tech. You access third-party sites at your own risk and subject to the terms and conditions of those sites.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict-of-laws principles. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction and venue of such courts.

15. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any signed client agreements, constitute the entire agreement between you and Alabama Tech regarding your use of the Site. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Alabama Tech with respect to the Site.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the “Last updated” date at the top of this page. Your continued use of the Site after any changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
